OLSEN PALMER ADVISES ATHENS FEDERAL COMMUNITY BANK IN ITS ACQUISITION OF BRANCHES FROM ATLANTIC CAPITAL

Washington, D.C. – Olsen Palmer is pleased to announce that Athens, Tennessee-based Athens Federal Community Bank, National Association (“Athens Federal”), subsidiary of Athens Bancshares Corporation, has agreed to acquire 4 branches from Atlantic Capital Bank, N.A, subsidiary of Atlantic Capital Bancshares, Inc. (NASDAQ: ACBI).

Athens Federal has agreed to assume approximately $104 million in customer deposits and purchase approximately $15 million in loans and other assets affiliated with three branches located in Athens, Lenoir City, Madisonville and Sweetwater, Tennessee.

The acquisition is expected to be completed during the spring of 2016, subject to customary closing conditions, including the receipt of all necessary regulatory approvals.

OLSEN PALMER CLIENT F&M FINANCIAL CORPORATION HAS BEEN ACQUIRED

Washington, D.C. – Olsen Palmer is pleased to announce that F&M Financial Corporation, parent of Clarksville, Tennessee-based F&M Bank, has been acquired by F&M Bancorp, Inc., a newly-formed bank holding company solely-owned by Gaylon Lawrence, Jr. in an all-cash transaction valued at approximately $85 million.

With $861 million in assets, F&M Bank is the 17th largest Tennessee-based bank, operating 17 branches across 7 counties. F&M Bank is remaining intact, retaining its existing name, charter, management, employees, and board of directors.

Mr. Lawrence, through his holdings in The Lawrence Group, owns five other separately-chartered banks, including the Arkansas-based parent company of Tennessee Bank & Trust which serves Tennessee through branches in Cool Springs and Green Hills.
